These Terms of Service (“Terms”) govern your access to and use of all our mobile applications, web platforms, software products, and related services (collectively referred to as the “Services”). Definitions For the purposes of these Terms: “Affiliate” means, with respect to any entity, any other entity that directly or indirectly controls, is controlled by, or is under common control with such entity. “Authorized Users” means the individual employees, agents, or representatives of a customer or its affiliates who are authorized by such customer to use E-Connect’s proprietary software or solution within the licensed limits as may be prescribed. “Derivative Works” means works based upon or derived from E-Connect proprietary software or materials, including revisions, modifications, enhancements, extensions, or any other form in which such material may be recast, transformed, or adapted. “Licensed Operations” means the business operations of a customer for which the customer is entitled to use the E-Connect proprietary software or solution under the license granted by the Company, subject to the scope and restrictions defined in the relevant agreement or schedule. 3. Provision of Services Evolving Services: E-Connect is constantly evolving to provide improved functionality, performance, and user experience. The form and nature of the Services may change from time to time. The Company reserves the right to modify, suspend, or discontinue any part of the Services, products, or content without prior notice. Software Updates: The Company or the relevant application store may periodically check for updates, bug fixes, and upgrades. You consent to the automatic download and installation of such updates, which shall be considered part of the Services. Refusal to install mandatory updates may result in limited functionality or discontinuation of use. Account Access: E-Connect may disable or restrict access to your account for maintenance, policy violations, or technical reasons, which may prevent you from accessing your account or stored data. Usage Limits: E-Connect may, at its sole discretion, impose limits on storage, data transmission, or access frequency without prior notice. Infringe upon any intellectual property or privacy rights. Violation of this clause may result in immediate suspension, termination of access and legal action. 6. Intellectual Property Rights All intellectual property rights, including software code, design, databases, graphics, trademarks, and documentation, are owned by or licensed to E-Connect Solutions Private Limited. You are granted a limited, revocable, non-exclusive, non-transferable license to use the Services solely for personal or authorized business purposes as permitted under these Terms. Limitation of Liability To the fullest extent permitted by law, E-Connect and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages arising from: Your use or inability to use the Services; Unauthorized access to or alteration of your data; or Any reliance placed on the Services. The aggregate liability of E-Connect, if any, shall not exceed the amount paid by you (if any) for accessing the Services during the preceding three (3) months. 15. Indemnification You agree to indemnify, defend, and hold harmless E-Connect Solutions Private Limited, its directors, employees, and affiliates from and against all claims, losses, liabilities, or expenses arising out of: Your misuse of the Services; Your violation of these Terms or applicable laws; or Your infringement of any third-party rights. 16. Governing Law and Jurisdiction These Terms shall be governed by and construed in accordance with the laws of India. All disputes shall be subject to the exclusive jurisdiction of the courts of Udaipur, Rajasthan, India. 17.
